Complete guide to company registration in Pakistan with SECP: private limited vs SMC vs partnership, documents, NTN, bank account and compliance after incorporation.
Starting a business in Pakistan begins with choosing the right legal structure and registering it correctly. A properly registered company can open a corporate bank account, issue tax invoices, sign contracts, hire staff and win larger clients. This guide explains how company registration in Pakistan with the Securities and Exchange Commission of Pakistan (SECP) works.
Choose the right business structure
The most common options are sole proprietorship, partnership or AOP, Single Member Company (SMC) and private limited company. A sole proprietorship is the simplest, but the owner carries unlimited personal liability. An SMC or private limited company gives limited liability and looks more credible to banks, investors and corporate customers. As a general rule a private limited company needs at least two members and directors, while an SMC can be owned by one person.
Documents you normally need
- CNIC copies of all directors and shareholders
- Three proposed company names for SECP name reservation
- Memorandum and Articles of Association with the business objects
- Registered office address and proof of occupancy
- Active email address and mobile number for every director
Typical registration steps
- Reserve the company name through SECP's online system.
- Prepare and file the incorporation documents with the registration fee.
- Receive the Certificate of Incorporation.
- Register the company for NTN with FBR and, where needed, for sales tax with FBR, PRA or SRB.
- Open a corporate bank account.
What to do after incorporation
Registration is only the start. Companies must keep proper books, file annual returns and audited financial statements with SECP, and file income tax and sales tax returns on time. Missing deadlines leads to penalties and can hurt your standing as an active taxpayer.
